Pau Hana Parrothead Club Board Meeting

June 8, 2012



Attendees:  Lee Walters (President), Deane Lediholt (Vice President), Nelson Lampert (Treasurer), Mark Jones (Secretary), Clay Deaver (Board Member)


Location:  Dixie Grill Aiea


Meeting called to order 4:50pm.


Treasurer’s Report:  Club has estimated funds of $3000, which includes $200 still owed from Elks Event deposit and $144 in Paypal account.


Old Business:

The proposed Summer Bash was reviewed by Lee.  The current plans are to hold the event at Buffets Waikiki on August 25 from 3-7 PM.  Preliminary approval to hold the event has been received from the establishment but final approval from Buffets corporate hasn’t been granted.


The event will be similar to previous Summer Bash’s and will consist of live music, a silent auction, and various raffles to raise money.  All money raised from the silent auction and raffles will be donated to the USO.  The venue will be open to the public so there will be an opportunity to increase membership by showcasing what the Pau Hana Parrothead Club does to those that are unfamiliar with its charity work.


Entertainment would be provided by John Friday.  The club would cover $1000 of expenses for travel and lodging for John to travel to Oahu and play at the event.


Nelson presented a motion that the club pay for a tax attorney or CPA to evaluate if the club paying for entertainment at a charity fund raiser would be considered inurement.  Lee presented an inquiry he had made through the internet to an attorney specializing in nonprofit issues in which the reply was that the club wouldn’t be considered libel for inurement for pay for entertainment at a charity event.


The Board conducted an extended discussion of Nelsons motion and if paying for entertainment at a charity event would involve inurement.  Before a vote could be taken Nelson withdrew his motion from consideration.


Lee made a motion that the Board approve the concept of the Summer Bash and approve paying John Friday $1000 for travel expenses to play at the event.  Deane seconded the motion.  Lee asked for a vote and the motion passed 4-1, with Nelson being the dissenting vote.


New Business

The monthly Club phlockings were discussed and it was proposed there be gatherings on 6-23 at Ko Olina Yacht club and 7-21 at either Lee’s home or ChaCha’s in Hawaii Kai.


Extended discussion about how the Club conducted business.  Nelson presented a concept that was very different from how the club had operated in the past and all of the other board members defended current practices.  The discussion ended when Nelson offered his verbal resignation from the Club.  An email restating his resignation was received on 6/8/12 around 7:30PM local time

Mark Jones will take over duties of Treasurer for remainder of term and club will put out request for new secretary.
